These Sales, Cancellation and Refund Terms set out the general principles governing the purchase, use, cancellation and refund of software products, licenses, subscriptions, digital services and software development services supplied by CVD Adworks.
1. Sales Terms
Before purchase, customers are clearly informed of the scope, features, usage conditions, license period, any technical support and maintenance services, and pricing of the software or digital service.
Customers are responsible for reviewing the product or service features, license scope, usage terms and pricing before completing a purchase.
For online consumer transactions, where required by law, the main characteristics of the product or service, seller/provider details, total price, payment information and withdrawal rights are provided before purchase.
After a purchase is completed, order records are created electronically and relevant transaction records may be retained in our systems.
2. Software Licenses
Unless stated otherwise, software sold by CVD Adworks is supplied under a license to use.
Purchasing a software license does not transfer intellectual property rights in the software to the customer. The customer receives only the right to use the purchased product or service under its stated license terms.
License duration, user/device/domain limits, activation limits and other technical restrictions are governed by the conditions stated on the relevant product sales page or in its agreement.
Sharing license keys with third parties, copying, unauthorized distribution or resale, or disabling the software's license-checking mechanisms is prohibited.
3. Digital Products and Instantly Delivered Software
Where software licenses, activation codes, download links or digital content are delivered instantly by electronic means, or services are performed instantly electronically, statutory exceptions to the right of withdrawal may apply.
Under the Turkish Regulation on Distance Contracts, services performed instantly electronically and intangible goods delivered instantly to consumers are included among exceptions to withdrawal rights under certain conditions.
Cancellation and refund requests for digital products are therefore assessed with regard to the product's nature, delivery method, whether the license has been activated and applicable legislation.
4. Right of Withdrawal
Where a statutory right of withdrawal exists in a distance contract with a consumer, the consumer may exercise it without giving a reason within the period prescribed by law from the contract date. The Ministry of Trade guidance referenced in these terms generally specifies 14 days.
Statutory exceptions to withdrawal rights remain applicable.
In particular, withdrawal rights may not apply under relevant legislation to:
Services performed instantly electronically;
Digital or intangible products delivered instantly;
Services whose performance begins with the customer's express approval before the withdrawal period ends.
Refund assessments for software therefore consider delivery, license activation, commencement of service and the product's digital nature.
5. Software Development and Custom Projects
For software, web applications, custom modules, integrations, designs and similar projects developed at a customer's request, project scope, delivery, pricing and payment schedules may be agreed separately between the parties.
For customer-specific software or services not offered for general use, work and costs incurred after analysis, design, development, integration or other work has begun are taken into account.
Cancellation or change requests are assessed based on work completed up to that date and the project terms previously agreed between the parties.
6. Subscriptions and Renewals
For subscription-based software and services, the subscription period, billing cycle and renewal conditions are stated in the relevant sales terms.
Customers who do not wish to renew may request cancellation before the subscription renewal date.
Cancellation and refunds for a subscription period that has already begun are assessed according to the product's nature, use of the service and applicable law.
7. Refund Requests
Customers requesting a cancellation or refund may contact CVD Adworks with their purchase details and the reason for their request.
To review the request, we may ask for:
Order or invoice details;
Details of the purchased product or service;
License or activation information;
Contact details.
Refund requests are assessed according to the nature of the product and service and applicable legislation.
Where a refund is legally required, it is processed within the applicable statutory period. The Ministry of Trade guidance on distance contracts referenced in these terms provides for a 14-day period, subject to the relevant conditions, for refunds owed by the seller/provider where a withdrawal right applies.
8. Circumstances in Which Refunds May Not Be Available
To the extent permitted by law, refunds may be unavailable where:
A digital product has been delivered electronically;
A license key has been activated;
A digital service has begun with the customer's express approval;
An instantly performed electronic service has been completed;
Development of customer-specific software or services has begun;
Other lawful circumstances expressly stated in the contract or product terms apply.
These provisions must not be interpreted as removing consumers' mandatory statutory rights.
9. Technical Support and After-Sales Service
CVD Adworks aims to support customers after purchase.
Depending on the scope of the purchased software, technical support, bug fixes, updates, maintenance, installation and usage assistance may be provided.
Support included in the sales package is considered separately from paid development work or custom requests.
10. Legal Rights
These terms apply subject to applicable consumer legislation and other relevant laws.
Customers' statutory rights in consumer transactions cannot be restricted.
CVD Adworks reserves the right to update these Sales, Cancellation and Refund Terms in response to changes in legislation.
